FINANCIAL POSITION AND RESULTS OF OPERATIONS.
The developments in detail.

At Kombiverkehr, the key financial performance indicators (KPIs) are gross freight revenue – calculated as the difference between operating revenue and cost of materials – and the net profit for the year. Gross freight revenue is supplemented by transport-related income from subsidies which Kombiverkehr receives for shifting traffic from road to rail from the Swiss Federal Office of Transport (BAV), the French Ministry of Transport and the German Federal Ministry of Transport and Infrastructure for the development of traffic to and from the Lehrte MegaHub. Operating performance in 2025 also includes the receipt and use of federal track access subsidies, which were granted to eligible rail freight operators under the Directive on the Promotion of Rail Freight Transport via Proportional Financing of Approved Track Access Charges (af-TP).

Taking into account transport-related subsidies of EUR 2,651k, which are reported under other operating income in accordance with the German Commercial Code (HGB), Kombiverkehr generated operating revenue of EUR 401,305k in the 2025 financial year, a decrease of EUR 37,299k compared with the previous year, primarily due to the decline in volume. After deducting the cost of materials, gross freight revenue amounted to EUR 11,220k, which was EUER 8,742k lower than in the previous year due to declines in volume and capacity utilisation.

Gross freight revenue is supplemented by other operating income of EUR 9,225k, consisting primarily of proceeds from the sale of fixed assets (railway wagons) amounting to EUR 6,050k, the release of provisions of EUR 345k, and project funding of EUR 887k.

In the 2025 financial year, staff costs amounted to EUR 11,532k, a decrease of EUR 489k compared with the previous year as a result of staff restructuring. As at 31 December 2025, a total of 147 employees, or 131 full-time equivalents (FTEs), were employed. Other operating expenses increased by EUR 418k in the 2025 financial year, mainly due to losses from disposals of fixed assets and the passing on of subsidies to customers of Kombiverkehr KG.

For the 2025 financial year, Kombiverkehr reported an operating result of EUR -730k, a decrease of EUR 202k compared with the previous year.

At EUR 1,532k, the financial result is EUR 787k higher than in the previous year. After deducting income tax and other taxes, Kombiverkehr generated a net profit of EUR 762k in the 2025 financial year.

Cash flow from operating activities amounted to EUR -15,493k, which is EUR 24,115k lower than the figure of EUR 8,622k achieved in the previous year. This represents a decrease in liabilities, whereas in 2024 there was an increase in both receivables and liabilities. Cash flow from investing activities amounted to EUR 10,748k, which is primarily attributable to proceeds from disposals of fixed assets.

Cash flow from financing activities, which includes the entry and exit of limited partners, capital contributions and withdrawals, increased by EUR 192k to EUR -146k for the year. In the previous year, the figure here was still EUR -338k.

Cash and cash equivalents decreased by EUR 4,891k to EUR 7,007k at the end of the financial year and consist entirely of cash and cash equivalents.
